Introduction
Welcome to Udrivy. These Terms & Conditions (“Terms”) govern your access to and use of the Udrivy website, application, APIs, and related services (collectively, the “Platform”). By creating an account, listing a vehicle, or booking a vehicle through the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Nature of the Service
Udrivy is a digital marketplace that facilitates connections between vehicle providers (rental agencies and other professional fleets; collectively “Providers”) and renters (“Renters”). Udrivy does not own vehicles, is not a traditional rental company, and is not a party to the rental contract concluded between Provider and Renter. Udrivy provides the technology that enables listings, search and booking, identity checks, secure payment processing, and support workflows. (See similar marketplace framing in major car-sharing platforms’ terms.)
Eligibility and Account
Use of the Platform requires creating an account with accurate, current information. You must be legally able to drive and meet all local licensing requirements for the vehicle class booked. Udrivy may require identity and driver’s license verification, facial match, fraud screening, driving history checks, and payment method authentication. Udrivy may refuse, suspend, or revoke access at its discretion in case of non-compliance, suspected fraud, or risk concerns. (Comparable identity/eligibility controls exist on peer platforms.)
Listings by Providers
Providers are solely responsible for the accuracy and completeness of their listings, including vehicle specifications, location, pricing, availability, included mileage, fuel/charging policy, insurance information, and any special conditions. Vehicles must be roadworthy, legally registered, and compliant with applicable law; maintained per manufacturer standards; and insured at least to the minimum third-party liability level required by law in the UAE. Udrivy may require evidence of maintenance, registration, and insurance, and may delist vehicles that appear unsafe, non-compliant, or misrepresented. (UAE rentals require third-party liability coverage; many marketplaces impose minimum age/condition rules.)
Booking and Contract Formation
A booking made through the Platform constitutes a rental agreement between the Renter and the Provider on the terms displayed at checkout and on the booking confirmation (“Rental Confirmation”). Udrivy will provide the booking record in the Platform as evidence of the agreed terms, including dates, location, price, fees, and any options selected. (Peer platforms provide a trip/rental agreement record in-app.)
Payments, Pricing, Fees, and VAT
All payments are processed through Udrivy’s payment partners. The Renter authorizes Udrivy to charge the total price shown at checkout, including the rental price set by the Provider, Udrivy service fees, optional protection, add-ons, taxes, and any applicable surcharges. Where applicable, VAT may be charged at the prevailing rate (currently 5% in the UAE for most rental services). Responsibility for tax registration and invoicing may rest with the Provider; Udrivy may collect and remit taxes on behalf of Providers where legally required or contractually agreed. Udrivy may place a temporary payment authorization to verify the payment method and to cover permitted post-rental charges (e.g., tolls, fines, excess mileage, cleaning or damage). Cancellations, No-Shows, and Modifications
Providers set cancellation windows and fees subject to Platform minimum standards. The Platform will display each listing’s policy before booking. No-shows or late cancellations may incur fees. Modifications (time, location, vehicle class) are subject to Provider approval and possible price changes. If a Provider cancels a confirmed booking, Udrivy will refund the Renter and may apply penalties or quality measures to the Provider account.
Vehicle Access and Keyless Technology
Where keyless access is enabled, Renters can unlock/lock the vehicle via the Udrivy app using telematics hardware (“Connected Access”). Renters consent to the capture of device identifiers and access events for security, audit, and billing. Providers agree that Connected Access devices may collect telematics data such as lock/unlock events, odometer, location pings, and diagnostic flags to support trip management, incident resolution, and fraud prevention. Enhanced security features reduce risk but do not guarantee prevention of theft or damage. (Comparable disclosures exist on car-sharing platforms using telematics.) 
Vehicle Condition, Handover, and Return
Before start, the Renter must review and document vehicle condition (photos/video in-app where available). At return, the Renter should restore the fuel/charge level and cleanliness per listing policy. Providers should promptly report any discrepancies (missing fuel/charge, excessive dirt, smoking, pet hair, or damage) through the Platform with time-stamped evidence.
Prohibited Uses
Renters must not use vehicles for illegal purposes, off-road or track use (unless expressly allowed), towing, carrying hazardous materials, subletting or ride-hailing (unless permitted), or any use prohibited by law or insurance. Maximum occupancy and load limits must be respected.
Tolls, Fines, Violations, and Road Charges
Renters are responsible for tolls, parking tickets, traffic fines, congestion charges, and violations incurred during the rental. Providers should submit supporting documentation through the Platform for recovery. Udrivy may, where legally permissible, charge the Renter’s payment method for notified tolls and fines plus applicable processing fees.
Breakdowns, Accidents, and Incidents
In case of breakdown or accident, the Renter must follow the in-app guidance, contact emergency services where needed, and notify the Provider and Udrivy promptly. For accidents, a police report is typically required in the UAE for insurance claims; failure to obtain required reports may result in denial of coverage. Claims must be filed through the Platform with supporting evidence. Udrivy may assist with coordination but is not the insurer or guarantor of claims outcomes.
Insurance, Protection, and Risk Allocation
All vehicles listed must carry valid third-party liability insurance at or above legal minimums. Providers are responsible for ensuring that their policy permits commercial rental/car-sharing use and meets any lender/lessor conditions. Udrivy may offer optional protection plans via third-party insurers; coverage terms are governed solely by the applicable policy wording. Udrivy does not warrant that any protection will cover all losses. Loss allocation, deductibles, and exclusions apply. (Industry practices acknowledge mandatory TPL and optional comprehensive cover; lienholder constraints may apply.)
Damage, Cleaning, and Excess Mileage
Where supported, the Platform calculates excess mileage, fuel/charging deficits, and cleaning categories based on listing rules and evidence. Providers must submit claims with time-stamped photos and receipts within the specified window. Udrivy may charge the Renter’s payment method for approved post-rental amounts. Disputes are handled via the Platform with an evidence-based review.
Fraud Prevention and Safety
To protect users and Providers, Udrivy deploys automated and manual checks, including ID and license verification, payment screening, device fingerprinting, and telematics signals. Suspicious activity may lead to trip cancellation, account suspension, or referral to authorities. Safety features aim to reduce risk but cannot eliminate it entirely. (Platforms explicitly state enhanced security does not guarantee theft/damage prevention.)
Ratings, Reviews, and Content
After trips, users may leave ratings and reviews. By posting content, you grant Udrivy a non-exclusive, worldwide, royalty-free license to use, host, reproduce, and display such content for Platform purposes. Content must be accurate, lawful, and non-defamatory. Udrivy may remove content that violates these Terms or applicable law.
Fees, Commission, and Payouts to Providers
Udrivy retains a commission from each completed rental. The net payout to Providers is remitted per the payout schedule and method chosen in the Provider dashboard, subject to successful payment settlement and any offsets for adjustments, refunds, chargebacks, or claims.
Chargebacks and Collections
If a payment is reversed, declined, or charged back, Udrivy may recover amounts owed by charging any payment method on file, netting from future payouts, or using lawful collections processes. Payment plans may be offered at Udrivy’s discretion for eligible balances.
Compliance with Law Licensing
Users must comply with all applicable laws and regulations relating to driving, rentals, data, sanctions, and export controls. Providers are responsible for holding any required commercial permits, trade licenses, and insurance endorsements for renting out vehicles.
Data Protection and Privacy
Udrivy processes personal data as described in its Privacy Policy, including identity documents, driver data, trip telemetry, and payments information. Data may be stored and processed in the UAE and other jurisdictions subject to safeguards. Users have rights of access and correction in accordance with applicable law.
Third-Party Services
The Platform integrates third-party services (payments, KYC, telematics, mapping, messaging). Each third-party’s terms and privacy policies apply in addition to these Terms. Udrivy is not liable for third-party outages or acts.
Intellectual Property
All Platform software, branding, content, and designs are owned by or licensed to Udrivy and protected by IP laws. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Udrivy is not liable for indirect, incidental, special, punitive, or consequential damages; lost profits; loss of data; or reputational harm arising from use of the Platform, listings, rentals, accidents, theft, or third-party acts. Udrivy’s aggregate liability to any user shall not exceed the greater of the amounts paid by that user to Udrivy in the twelve months preceding the event or USD 100.
Indemnification
You agree to indemnify and hold harmless Udrivy, its affiliates, and personnel from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, violation of law, or infringement of third-party rights, and in relation to your listings, vehicles, or use of a vehicle.
Suspension, Deactivation, and Termination
Udrivy may suspend or deactivate accounts or listings immediately if it reasonably believes a user presents a risk, has violated these Terms, or engaged in fraud or illegal conduct. Users may close their account at any time, provided all open rentals are completed and amounts owed are paid.
Changes to the Platform and Terms
Udrivy may modify the Platform and update these Terms from time to time. Updated Terms will be posted with a “last updated” date. Continued use after posting constitutes acceptance.
Governing Law; Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Courts of Abu Dhabi shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform, without prejudice to any mandatory consumer protections under applicable law.
Language and Precedence
These Terms are provided in English and may be translated for convenience. In the event of any inconsistency, the English version prevails.
